1. Introduction & Acceptance of Terms

Welcome to TimberPanda (“we,” “us,” “our,” or “Company”), a U.S.-based online retailer of handcrafted solid wood furniture, operating the website www.timberpanda.com, associated mobile applications, and all related digital services (collectively, the “Site”). These Terms of Use (“Terms”) govern your access to and use of the Site, as well as all purchases of products (“Products”) and services offered through the Site.

By accessing the Site, creating an account, or placing an order, you (“you,” “User,” or “Customer”) acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Return Policy, and Limited Warranty Policy (all incorporated herein by reference). If you do not agree to these Terms, you may not access or use the Site.

If you are accessing the Site from outside the United States, you are additionally responsible for compliance with all applicable local laws, including import/export regulations and consumer protection rules in your jurisdiction. To the extent any provision of these Terms conflicts with mandatory local consumer laws in your region, those local laws will apply to the extent required.

2. Eligibility & Account Access

To use the Site and make purchases, you represent and warrant that:

• You are at least 18 years of age (or the age of legal majority in your state/country of residence) and have the legal capacity to enter into binding agreements. If you are under 18, you may only use the Site under the direct supervision of a parent or legal guardian who agrees to be bound by these Terms and is financially responsible for all transactions initiated by you.

• You are not located in, or a resident of, any country subject to U.S. economic or trade sanctions administered by the Office of Foreign Assets Control (OFAC), and you will not use the Site to conduct any prohibited transactions.

• You have not been previously suspended or banned from using the Site by TimberPanda for violation of these Terms or applicable law.

If you create an account on the Site, you are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account. You agree to provide accurate, current, and complete information during account registration, and to update your information promptly to maintain accuracy. You must notify us immediately at info@timberpanda.com of any unauthorized use of your account or security breach.

We reserve the right to suspend or terminate your account at any time, for any reason, including suspected fraud, violation of these Terms, or to protect the security of our Site and other users.

3. Permitted & Prohibited Uses

​​​

You may access and use the Site only for lawful, personal, non-commercial purposes unless you have received our prior written consent for commercial use.

Prohibited activities include, but are not limited to:

• Violating any applicable federal, state, local, or international law, including fraud, identity theft, or intellectual property infringement.

• Scraping, crawling, or using automated tools (including bots, scripts, or data miners) to access, copy, or extract content from the Site without our express written permission, including to hoard limited-edition inventory for resale.

• Reproducing, distributing, modifying, or creating derivative works of any Site content, including product designs, photographs, 3D renderings, logos, trademarks, or written content, for commercial or public use without our prior written consent.

• Posting false, misleading, defamatory, or infringing user content (including reviews, photos, or Q&A) on the Site.

• Harassing, threatening, or harming other users, TimberPanda employees, or third parties associated with the Site.

• Using the Site to conduct pyramid schemes, multi-level marketing, or other fraudulent business activities.

• Reselling any Products purchased from the Site for commercial gain without a signed reseller agreement with TimberPanda.

• Attempting to gain unauthorized access to our Site, servers, networks, or payment systems, or introducing malware, viruses, or harmful code to the Site.

• Using the Site to collect personal information from other users without their explicit consent.

4. Intellectual Property Rights

​​​

All content and materials on the Site, including but not limited to product designs, trademarks, logos, text, graphics, photographs, videos, 3D models, software, and user interface elements, are the exclusive property of TimberPanda or its licensors, and are protected by U.S. and international copyright, trademark, patent, and trade secret laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view Site content for personal, non-commercial use only. No other license to our intellectual property is implied or granted by these Terms.

User-Generated Content (UGC)

​​​

If you submit reviews, photos, Q&A, or other content to the Site, you retain full ownership of your original work. By submitting UGC, you grant TimberPanda a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, display, and distribute your content across our Site, social media, marketing materials, and advertising channels, without additional compensation to you. You warrant that you own or have the necessary rights to all content you submit, and that your content does not violate any third-party rights or applicable law.

We reserve the right to monitor, edit, or remove any UGC that violates these Terms or is deemed harmful, inaccurate, or inappropriate, at our sole discretion and without prior notice.

Copyright Infringement Claims (DMCA Compliance)

We comply with the U.S. Digital Millennium Copyright Act (DMCA). If you believe any content on the Site infringes your copyright, please submit a written takedown notice to our designated DMCA agent at:

Your notice must include: (1) a description of the copyrighted work you claim has been infringed; (2) a description of the allegedly infringing content and its location on the Site; (3) your contact information; (4) a statement of good faith that the use is unauthorized; (5) a statement that the information in your notice is accurate, under penalty of perjury; and (6) your physical or electronic signature. We will respond to valid DMCA notices within 10 business days, and will terminate the accounts of repeat infringers in accordance with applicable law.

5. Product Listings, Pricing & Ordering

​​​

We make every effort to ensure product descriptions, pricing, specifications, and availability information on the Site is accurate and up-to-date. However, we do not warrant that Site content is error-free, complete, or current.

Key Ordering Terms:

​​​

• Pricing Errors: All prices are listed in U.S. Dollars (USD) unless explicitly stated otherwise. If a product is listed at an incorrect price due to typographical error, system error, or other mistake, we reserve the right to cancel any order placed at the incorrect price, even if the order has been confirmed and payment processed. We will notify you of the error and issue a full refund for any canceled orders.

• Promotional Offers: Discount codes, sales, and limited-time offers are subject to the specific terms published at the time of the promotion. Offers may not be combined unless explicitly stated, are only valid for the stated time period, and cannot be applied to prior purchases. We reserve the right to modify or cancel any promotion at any time, for any reason.

• Order Acceptance: We reserve the right to refuse or cancel any order for any reason, including suspected fraud, inability to source materials, stock shortages, or violation of these Terms. If we cancel your order, we will notify you and issue a full refund to your original payment method.

• Custom & Personalized Orders: All custom-sized, custom-finished, or personalized Products are final sale and non-returnable unless they arrive with a manufacturing defect, as they cannot be resold.

• Solid Wood Variation Disclosure: All Products are made from natural solid wood, which may exhibit inherent variations in grain, color, knot density, and texture. Slight differences between product images on the Site and the actual Product you receive are normal and not considered defects, unless the variation is materially misrepresented in the product listing.

6. Shipping & Delivery

​​​

• Shipping times listed on the Site are estimates only, and not guaranteed. Delays caused by carrier issues, weather events, supply chain disruptions, customs processing, or other events outside our control do not constitute a breach of contract.

• Risk of loss and title to Products transfer to you upon delivery to the designated shipping address, or upon our first attempted delivery if you are unavailable to accept the package.

• For international orders: You are solely responsible for all customs duties, import taxes, brokerage fees, and other charges imposed by your country’s regulatory authorities. These fees are not included in the product price or shipping fees quoted at checkout. We are not liable for delays caused by customs processing, nor for orders that are seized, held, or rejected by customs authorities in your jurisdiction. You are responsible for verifying that our Products comply with your country’s import regulations prior to placing an order.

• If you provide an inaccurate or incomplete shipping address, or fail to accept delivery when attempted, we may charge a re-shipping fee or cancel your order and issue a refund minus applicable shipping and restocking fees.

7. Returns, Refunds & Exchanges

​​​

Our full Return Policy is available on the Site and is incorporated into these Terms. Key terms include:

• Domestic (U.S.) returns are accepted within 30 calendar days of delivery for non-defective, non-custom Products in original, unassembled condition with all parts, hardware, and packaging included. Custom, personalized, and final-sale items are not eligible for return unless they arrive with a manufacturing defect.

• Defective or damaged Products must be reported to us within 48 hours of delivery, accompanied by clear photos of the damage, to be eligible for replacement or refund.

• Return shipping fees for non-defective domestic returns are the responsibility of the customer. We cover return shipping for defective or incorrectly shipped items.

• International returns are only accepted for defective or damaged Products. You are responsible for all return shipping costs, customs fees, and insurance for international return shipments. We reserve the right to refuse international returns that do not meet our eligibility requirements.

• Refunds are issued to the original payment method within 10-14 business days of us receiving and inspecting the returned Product, minus any applicable restocking fees (15% for non-defective returns). We do not cover the cost of original shipping unless the return is due to our error.

8. Warranties

​​​

All new TimberPanda Products come with a 5-year limited warranty against manufacturing defects in materials and workmanship, subject to the terms of our full Limited Warranty Policy available on the Site. The warranty is only valid for the original purchaser and is non-transferable.

Warranty Exclusions:

​​​

The limited warranty does not cover damage resulting from:

​​​

• Normal wear and tear, including scratches, dents, or fading from normal use.

• Improper assembly, installation, or maintenance, including failure to anchor tall furniture (e.g., dressers, bookshelves) to the wall per our safety guidelines.

• Exposure to extreme temperatures, humidity, or direct sunlight, or use of harsh cleaning chemicals not recommended for solid wood.

• Modification, alteration, or repair of the Product by anyone other than an authorized TimberPanda technician.

• Commercial use of the Product, unless a separate commercial warranty has been purchased.

To the fullest extent permitted by applicable law, we disclaim all implied warranties of merchantability and fitness for a particular purpose. Some jurisdictions do not allow the disclaimer of implied warranties, so this exclusion may not apply to you.

9. Text Messaging (TCPA Compliance)

​​​

If you provide your mobile phone number to TimberPanda, you consent to receive transactional and marketing text messages from us, including order updates, promotional offers, and customer service communications. Standard message and data rates may apply. You may opt out of marketing text messages at any time by replying STOP to any message, or by contacting our customer support team. We do not share your phone number with third parties for their marketing purposes without your explicit consent.

10. Third-Party Links & Services

The Site may contain links to third-party websites, payment processors, shipping carriers, or other services operated by entities unaffiliated with TimberPanda. We are not responsible for the content, accuracy, legality, or practices of any third-party sites or services, and we do not endorse any third-party content. Your use of third-party services is governed by their respective terms of service and privacy policies, and we are not liable for any harm arising from your use of third-party services.

 

11. Limitation of Liability

To the fullest extent permitted by applicable U.S. law and the laws of your jurisdiction, TimberPanda, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, loss of use, reputational harm, or other intangible losses, arising out of or related to:

• Your use of, or inability to use, the Site or any Products;

• Any errors, omissions, or inaccuracies in Site content;

• Any unauthorized access to or use of our servers or personal information stored on those servers;

• Any Product defect, delay, or failure to deliver, to the extent permitted by law.

Our total aggregate liability to you for any claim arising out of or related to these Terms, the Site, or any purchase of Products shall not exceed the amount you paid to TimberPanda for the specific Product or service giving rise to the claim.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so the above limitations may not apply to you in full. Nothing in these Terms limits our liability for gross negligence, willful misconduct, or death or personal injury caused by our negligence, to the extent prohibited by applicable law.

12. Indemnification

​​​

You agree to indemnify, defend, and hold harmless TimberPanda, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Site or purchase of Products;

• Your violation of these Terms or any applicable law;

• Your infringement of any third-party intellectual property, privacy, or other rights;

• Any user-generated content you submit to the Site;

• Any harm caused to third parties as a result of your use of the Site or Products.

13. Dispute Resolution & Arbitration

We encourage you to contact our customer support team first to resolve any informal dispute related to your order or use of the Site. If we are unable to resolve the dispute within 30 days of your written notice, the following dispute resolution process applies:

13.1 Binding Arbitration

​​​

Except for claims that may be brought in small claims court (see below), any dispute arising out of or related to these Terms, the Site, or any purchase of Products will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted on an individual basis only: you and TimberPanda both waive any right to bring or participate in any class action, collective action, or representative action against the other.

The arbitration will be conducted in English, either in person, by phone, or via online video conference, in the county where you reside, or at a location mutually agreed upon by you and TimberPanda. The arbitrator’s decision will be final and binding, and may be entered in any court of competent jurisdiction.

13.2 Opt-Out Right

​​

You may opt out of this binding arbitration clause by sending written notice of your opt-out to TimberPanda Legal Department, 123 Furniture Way, High Point, NC 27260, within 30 days of first accepting these Terms. Your opt-out notice must include your name, address, and a clear statement that you do not wish to be bound by the arbitration clause. If you opt out, you may still pursue claims in small claims court or file a lawsuit, subject to the governing law and venue provisions below.

13.3 Small Claims Court

​​

Notwithstanding the arbitration requirement, you may bring an individual claim in your local small claims court if the claim falls within the court’s jurisdictional monetary limit, and the claim is otherwise not subject to arbitration.

13.4 Governing Law & Venue

​​

These Terms, and any dispute arising out of them, are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles. If you opt out of arbitration or if the arbitration clause is found unenforceable, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Guilford County, North Carolina, for the resolution of any dispute.

 

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms (including order fulfillment or delivery) due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, labor disputes, supply chain disruptions, carrier delays, government actions, war, terrorism, or internet/telecommunications outages.

 

15. Modifications to Terms

We reserve the right to modify or update these Terms at any time, at our sole discretion. We will post the updated effective date at the top of this page when changes are made. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Site immediately.

 

16. Termination of Access

We may suspend or terminate your access to the Site, your account, or any pending orders at any time, for any reason, including violation of these Terms, suspected fraudulent activity, or at our sole discretion. Upon termination, all provisions of these Terms that by their nature should survive (including intellectual property, limitation of liability, indemnification, dispute resolution, and governing law provisions) will remain in full force and effect.

17. General Provisions

• Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced with a valid provision that most closely matches the intent of the original.

• No Waiver: Our failure to enforce any provision of these Terms at any time does not constitute a waiver of our right to enforce that provision or any other provision at a later date.

• Entire Agreement: These Terms, along with our Privacy Policy, Return Policy, and Limited Warranty Policy, constitute the entire agreement between you and TimberPanda regarding your use of the Site and supersede all prior or contemporaneous oral or written agreements, representations, and understandings.

• Assignment: You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms to any affiliate, subsidiary, or successor in interest without restriction.

• Force of Language: In the event of any conflict between the English version of these Terms and any translated version, the English version will control.
